By engaging ProbablyWorks for software development services, you agree to these Terms of Service. If you do not agree to these terms, do not use our services.
ProbablyWorks provides the following services:
Specific scope, deliverables, timeline, and pricing for each project are outlined in written project agreements or proposals provided before work begins.
All projects operate on a 50/50 payment split: 50% upfront upon project acceptance, 50% upon delivery of the final product.
Invoices are due within 14 days of receipt. Late payment may result in suspension of work until payment is received.
Additional work beyond the agreed scope is subject to additional fees. Change requests must be discussed and approved in writing before implementation.
You retain ownership of work-for-hire deliverables outlined in your project agreement. ProbablyWorks retains the right to retain, use, and display custom features, code patterns, and solutions developed during your project for portfolio, educational, or future client purposes, unless explicitly agreed otherwise in writing.
Any open-source or third-party libraries included in your project are governed by their respective licences. You are responsible for understanding and complying with those licences.
Pre-built components, templates, frameworks, and tools used in your project remain the property of their creators and are licenced to you for use only within your project.
All project communication occurs exclusively through Discord. Clients are invited to ProbablyWorks' Discord community server, where dedicated project channels are created for ongoing updates, discussions, and support. This is the sole official communication channel for project matters.
Timelines provided in project proposals are estimates based on the agreed scope. Delays may occur due to unforeseen technical challenges, client feedback cycles, or scope changes.
The number of revision rounds is specified in your project agreement. Additional revisions beyond this limit are subject to hourly fees.
Deliverables are provided as agreed in your project scope document. This may include source code, hosting setup, deployment instructions, or other assets as outlined.
Timely feedback and decision-making from your side keeps projects on track. Delays in providing required information, assets, or approvals may extend timelines.
Unless otherwise agreed, you are responsible for hosting, domain registration, SSL certificates, and ongoing maintenance of the delivered product. ProbablyWorks provides guidance but does not provide long-term hosting or support unless a separate maintenance agreement is in place.
You are responsible for all content (text, images, data) provided to ProbablyWorks. You warrant that you own or have the right to use all content and that it does not infringe on any third-party rights.
ProbablyWorks warrants that work will be performed professionally and in accordance with the agreed project scope. We make reasonable efforts to deliver bug-free, functional code. However, no software is entirely free of bugs, and some issues may only surface in production or under specific conditions.
ProbablyWorks does not warrant the performance, reliability, or uptime of third-party services (Discord, Telegram, OpenAI, Supabase, etc.) integrated into your project. You use these services at your own risk.
Deliverables are provided "as is" unless otherwise specified in a maintenance or support agreement.
To the fullest extent permitted by law, ProbablyWorks is not liable for:
The total liability of ProbablyWorks shall not exceed the amount paid for the project in question.
If you cancel a project after work has begun, you forfeit the upfront payment. You are responsible for payment of any work completed up to the cancellation date.
If you are dissatisfied with work delivered, notify ProbablyWorks within 7 days of delivery. ProbablyWorks will make reasonable efforts to resolve issues or make revisions at no additional cost, up to the revision limit in your project agreement.
Once deliverables are provided and accepted, refunds are not available. This includes scenarios where you decide not to launch or use the product.
ProbablyWorks agrees to keep your project details, business information, and personal data confidential. We will not disclose client information to third parties without your written consent, except as required by law.
You agree not to disclose ProbablyWorks' proprietary methods, pricing, or internal processes to competitors or the public.
Any disputes arising from this agreement shall first be addressed through good-faith discussion. If resolution cannot be reached, disputes will be governed by the laws of the jurisdiction in which ProbablyWorks operates and resolved through binding arbitration or mediation, not litigation.
ProbablyWorks may update these Terms of Service at any time. Continued use of our services after changes are posted constitutes acceptance of the new terms. For ongoing clients, significant changes will be communicated via Discord.
ProbablyWorks reserves the right to terminate services if:
Upon termination, all work completed up to that date remains the property of the client, and any remaining balance due is forfeited.
If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
For questions regarding these Terms of Service, contact ProbablyWorks via Discord or [email protected].
